How do I perform a share exchange for all holders of a class of shares?

To exchange shares for all holders of a class of shares navigate to the Events view for the entity and follow these steps:

  1. Click the + button in the top right of the page above the events table.
  2. Click the Actions button in the toolbar to open the Actions panel.
  3. Scroll the Actions panel to the third section, Automations.
  4. Select the automation Share Exchange (Capital Shareholders).
  5. The Share Exchange automation will appear in the event canvas.
  6. Enter the details into the Share Exchange automation including the class to cancel and class to issue from. You enter a ratio if the exchange is not 1:1, which is the default.
  7. Click the Go button to perform the automation. This will create all the required transactions for you automatically.
  8. You can review the details of the share exchange in the All Transactions capital view from the Entity Information Summary or in the ledgers for the relevant persons and classes.

How do I cancel all shareholdings for all holders of a class of shares?

To cancel all shares for all holders of a class of shares navigate to the Events view for the entity and follow these steps:

How do I perform a share distribution (i.e. one shareholder to many)?

To perform a share distribution navigate to the Events view for the entity and follow these steps:

  1. Click the + button in the top right of the page above the events table.
  2. Click the Actions button in the toolbar to open the Actions panel.
  3. Scroll the Actions panel to the third section, Automations.
  4. Select the automation Share Distribution (Capital Shareholders).
  5. The Share Distribution automation will appear in the event canvas.
  6. Enter the details into the Share Distribution automation including the class and the holder to distribute from and any relevant ledger note.
  7. Enter the number of recipients for the distribution. For example if Jane will distribute to 5 children then enter 5 in the Number of Recipients field.
  8. Click the Go button to perform the automation. This will create all the required transactions for you automatically.
  9. You can then enter the details of the distribution for each recipient, including the name and quantities for each transfer.
  10. You can review the details of the Share Distribution in the All Transactions capital view from the Entity Information Summary or in the ledgers for the relevant persons and classes.

How do I reflect a Section 86 Rollover?

To reflect a section 86 rollover navigate to the Events view for the entity and follow these steps:

  1. Click the + button in the top right of the page above the events table.

  6. Select the date for the transaction.
  7. Next to the action heading "Authorize Capital" click the select menu and make sure New is selected. This will ensure the action creates a new class rather than amending an existing class.
  8. Ensure Type is set to Equity.
  9. Enter the Authorization Date for the class.
  10. Enter Special for the classification.
  11. In the Ledger Note input area, type S. 86 Rollover.
  12. In the Properties section add the following properties: Redeemable, Redemption Price, Retractable, Retraction Price. Enter your desired redemption and retraction prices for the share class, if required.
  13. Complete any other details as desired.
  14. Freeze the value of your capital assets by exchanging shares of an existing class to the new Special Shares class
  15. Click the Actions button in the toolbar to open the Actions panel.
  16. Scroll the Actions panel to the third section, Automations.
  17. Select the automation Share Exchange (Capital Shareholders).

  23. Issue common shares at nominal value to the relevant shareholders

  26. Find or search for the Issue Shares (All) action.
  27. Click the action to add it to the canvas.
  28. Next to the action group header Issue Shares make sure to select the share class you want to issue. In this case, select the Common share class that has just been authorized.
  29. Enter the relevant details of the issuance.
  30. You can duplicate this issuance by clicking the duplicate button in the group header to make subsequent issuances to other persons.
